1. Scope of End User License Agreement

This end user license agreement (“EULA”) is a binding legal agreement between you and SBC Dynamics ERP (the “Company”). This agreement governs your acquisition and use of our Acumens Apps directly from the Company or indirectly through an authorized reseller or distributor (a “Reseller”). Please read this end user license agreement carefully before completing the installation process and using the Software. It provides a license to use the Software and contains warranty information and liability disclaimers.

If you register for a free trial of the Software, this end user license agreement will also govern that trial. By clicking “Accept” or installing and/or using the Software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA. If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions.

2. License Grant Terms and User Permissions

The Company hereby grants you a personal, non-transferable, non-exclusive license to use the Software on your devices in accordance with the terms of this end user license agreement. You are responsible for ensuring your device meets the minimum requirements of the Software. You are not permitted to edit, alter, modify, adapt, translate, or otherwise change the whole or any part of the Software, nor reverse engineer or decompile the codebase.

Under this end user license agreement, the Company shall always retain ownership of the Software as used or downloaded by you and all subsequent uses or downloads of the Software by you. The Software, the copyright of the Software, and other intellectual property rights in the Software (including any modifications made thereto) are and shall remain the property of the Company. The Company reserves the right to grant licenses to use the Software to third parties.

4. License Termination and Non-Compliance Conditions

This end user license agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to the Company. It will terminate when subscription to the Software expires due to non-payment. It will also terminate immediately if you fail to comply with any term of this EULA. Upon such termination, all licenses granted will immediately cease.

5. Governing Law and Legal Jurisdiction

This end user license agreement, and any dispute arising out of or in connection with this agreement, shall be governed by and construed in accordance with the laws of the United States of America. Any legal proceedings or dispute resolutions related to software operation shall fall exclusively under the designated federal and state court jurisdictions.

6. Changes and Updates to License Terms

The Company may change or update our License Agreement to reflect feedback and changes in our Services. Notification to our customers shall be provided upon change of the License Agreement. What happens if a subscription expires? When a software subscription expires due to non-payment or administrative cancellation, the license granted under this agreement is revoked, requiring the user to discontinue all active software operations immediately.
